Master Terms Governing Your Use of the FoneSpot Platform

Master Terms

Effective Date: April 6, 2026

These Terms of Service (Terms) constitute a legally binding agreement between you (User, you, or your) and FoneSpot LLC, a Delaware limited liability company (FoneSpot, Company, we, us, or our), governing your access to and use of FoneSpot.com, including any related websites, applications, software, tools, features, content, POS services, and services provided through the platform (collectively, the “Platform”).

IMPORTANT: By accessing or using the platform, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, You must not use the platform.

Platform Role: No Repair Services Provided By FoneSpot

FoneSpot is a technology platform that connects individuals seeking repair services Customers with independent third-party repair shops and service providers Service Providers

FoneSpot does not provide repair services, does not employ repair technicians, does not control or direct service providers, and does not guarantee repair outcomes. Any repair services are provided solely by service providers.

Eligibility

You represent and warrant that:

  • You are at least eighteen (18) years of age
  • You have the legal capacity to enter into these Terms
  • Your use of the Platform complies with all applicable laws

Account Registration And Security

You may be required to create an account. You agree to provide accurate and complete information and to maintain such information.

You are solely responsible for:

  • Maintaining the confidentiality of your credentials
  • All activity that occurs through your account

FoneSpot is not liable for any loss resulting from unauthorized use of your account.

Bookings, Quotes, Estimates, And Repair Agreements

Customers may submit repair requests. Service Providers may provide estimates, repair timelines, and quotes.

All estimates are informational only and may change after inspection of the device. The Customer acknowledges that device issues may differ from the description provided online. Any repair contract is solely between the Customer and the Service Provider.

Mail-In Repair Services: Shipping Risk

FoneSpot may facilitate mail-in repair services. Customers may ship devices to Service Providers.

Unless otherwise expressly stated in writing by FoneSpot, Customers Assume All Risk Of Loss, Theft, Damage, Or Delay During Shipping.

Customers are responsible for:

  • Secure Packaging
  • Removing SIM cards/Accessories
  • Backing up device data prior to shipping
  • Providing accurate shipping information

FoneSpot is not liable for shipping carrier errors or delays.

Payments And Processing

Customers may pay:

  • Through the Platform
  • Directly to the Service Provider

If payment is made through the Platform, payments may be processed through third-party processors. FoneSpot does not store full payment card information.

FoneSpot may charge platform fees, processing fees, subscription fees, or transaction fees. All fees will be disclosed prior to payment.

Refunds And Cancellations

Refunds are governed by the applicable Refund Policy and/or Service Provider policy. Diagnostic fees, shipping fees, labor fees, and part costs may be non-refundable. FoneSpot reserves the right, but not the obligation, to assist in dispute resolution.

Data Loss And Device Content Disclaimer

Customers acknowledge that repairs may require device disassembly, part replacement, software updates, or resets.

FONESPOT Shall not be laible for any data loss, including loss of photos, contacts, files, or software. Customers are responsible for backing up devices and removing sensitive information.

Verification Disclaimer

FoneSpot may verify Service Providers prior to onboarding. Verification is not a guarantee, endorsement, warranty, certification, or assurance of service quality, legality, or performance.

User Conduct And Prohibited Use

You agree not to:

  • Provide false or misleading information
  • Submit fraudulent bookings
  • Impersonate another person or business
  • Harass or threaten others
  • Upload malicious code
  • Scrape or harvest data
  • Attempt unauthorized access to the Platform
  • Violate laws or third-party rights

FoneSpot may suspend or terminate accounts at its sole discretion.

Intellectual Property

All Platform content, software, branding, trademarks, and materials are owned by FoneSpot LLC or licensed to it. Unauthorized copying or distribution is prohibited.

Disclaimer Of Warranties

The Platform Is Provided “As Is” And “As Available.” FoneSpot Disclaims All Warranties, Express Or Implied, Including Merchantability, Fitness For A Particular Purpose, And Non-Infringement.

Limitation of Liability

To The Maximum Extent Permitted By Law, FoneSpot Shall Not Be Liable For Any Indirect, Incidental, Consequential, Special, Exemplary, Or Punitive Damages.

FONESPOT’S total liability shall not exceed the greater Of:

  • The amount paid by you to FONESPOT in the six (6) months before the claim
  • One hundred dollars ($100)

Indemnification

You agree to indemnify, defend, and hold harmless FoneSpot LLC, its affiliates, owners, directors, officers, employees, and contractors from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your interactions with Service Providers or Customers
  • Your violation of any law or third-party rights

Termination

FoneSpot may suspend or terminate access to the Platform at any time, with or without notice, for any reason, including suspected fraud, abuse, or violation of these Terms.

Dispute Resolution: Mandatory Arbitration: Class Action Wavier

Informal Resolution Requirement

Before initiating arbitration or litigation, you agree to first contact FoneSpot at legal@fonespot.com and provide a written description of the dispute. You agree to allow thirty (30) days for informal resolution.

Binding Arbitration

Except for claims eligible for small claims court, any dispute arising out of or relating to the Platform or these Terms shall be resolved exclusively through final and binding arbitration administered in Delaware, USA, under the rules of the American Arbitration Association (“AAA”) or another recognized arbitration provider selected by FoneSpot.

Arbitration Procedure

The arbitrator shall have exclusive authority to resolve any dispute, including the interpretation or enforceability of this arbitration provision. Arbitration shall be conducted on an individual basis.

No Class Actions

YOU AGREE THAT ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS ARBITRATION.

Injunctive Relief

Nothing prevents FoneSpot from seeking injunctive or equitable relief in a court of competent jurisdiction for intellectual property violations, unauthorized access, fraud, or misuse of the Platform.

Arbitration Fees

Payment of arbitration fees shall be governed by the arbitration provider’s rules. The arbitrator may award fees and costs as permitted by law.

Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.

Severability

If any portion of these Terms is deemed unlawful or unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement

These Terms, together with all referenced policies, constitute the entire agreement between you and FoneSpot.
